Tom Fawls

Tom Fawls

With thirty years experience planning, writing, negotiating and managing delivery under various contracts in a multitude of industries, Tom Fawls is one of the most highly experienced, deeply qualified individuals teaching in the contract and contract delivery management training market today. His ability to use his wealth of experience and out-of-the-box imagination to help clients solve their one-of-a-kind contracting problems puts him in a class by himself.

He is highly skilled at turning ill-defined concepts into clear, concise specifications and leading teams to complete the work. Tom has an exceptional ability to analyze complex problems, create solutions to root-cause issues, and lead the technical and creative teams implementing effective contract resolutions.

With a Masters Degree in Systems Management and over two decades of hands on experience running various technology and product development projects, Tom has a solid understanding of the unique challenges involved in writing clear, effective, usable FEED (Front End Engineering and Design), EPC (Engineering, Procurement and Construction) and EPCICM (Engineering, Procurement, Construction, Installation, Commissioning and Management) contracts. With experience on both sides of the contract negotiation table, Tom understands the nuances and details that give customers the visibility into and understanding of the on-going work. He also knows the protections and tools you need to get the product to market; the production plant built; or the pipeline laid on time and within budget first time, every time.

Since the late 1980's Tom has used his spare time to develop and teach graduate level courses on Contract and Project Management for the University of Phoenix, Embry Riddle University, Webster University and others.

Tom is the CEO of The Council for Small Business, Inc. He has a Bachelor of Science degree in Accounting from Canisius College and a Masters of Science in System Management (with a concentration in managing research and development projects) from the University of Southern California's Viterbi School of Engineering. He is a Certified Advanced Facilitator; was awarded an Advanced Project Management Certificate from Cornell University and is a licensed Commercial Helicopter Pilot. 

K. A. Muralikrishnan (Kam)

Kam photo-1-SMALLKam has over 30 years experience spanning the nuclear power, integrating steel production facility and service industries. He acquired significant global commerce expertise through managing an entire supply chain & various quality assurance organizations. He has established and managed complex and high value commercial contracts through all phases of the contract life cycle.

He has excellent project management skills. Kam brings in a multi-diisciplinary approach in providing lasting solutions to clients. He has consulted on commercial and technical knowledge on contracts, QA, codes & standards as applicable to power industries and problm resolution areas.

KAM has a bachelor of Engineeing degree from Bangalore University, India. He also has a post graduate diploma in Materials Management from the University of Madras, India. Kam obtained a Master of Engineering degree from University of Toronto, Canada and a MBA from the Richard Ivey School of Business, University of Western Ontario, Canada.

KAM is an ardent Yoga teacher of many years. He participates regularly in sports such as Table Tennis, Squash and Golf.

Sterling A. Spainhour

Sterling Spainhour

Sterling Spainhour is a Senior Consultant for CMI Daily. He served as Adjunct Professor of Law at Charlotte School of Law in Charlotte, North Carolina where he taught advanced Contract Drafting, Banking and Financial Institution Law, Business Associations and Predatory Lending Law. Sterling also served as an Adjunct Professor of Law at Wake Forest University for 16 years where he taught similar courses.


Prior to joining the Charlotte School of Law, Sterling worked for Wells Fargo Corporation in Charlotte, North Carolina serving as Deputy General Counsel. Sterling’s career at Wells Fargo included a number of attorney and legal positions in which Sterling led and supported contract drafting and negotiation efforts. Technology contracts were a central focus in many of these projects. As Deputy General Counsel, Sterling led the practice group within the Legal Division which was responsible for all of the corporate legal issues relevant to Corporate Real Estate Issues, Global Off Shoring and Outsourcing, Intellectual Property, and Corporate Technology.


He has been a presenter at several Practicing Law Institute Seminars and other national and state continuing legal education seminars. Sterling received his BA Degree from Hampton University and his JD Degree from Notre Dame University School of Law.


In his contract drafting sessions, Sterling discusses in detail the legal and business issues relevant to the contracting process and focuses on the specific language in all of the terms and conditions included in complex business contracts including, but not limited to, term, termination, intellectual property, limitation of liability, indemnity, insurance, force majeure and many others. Sterling focuses his discussions on the way each paragraph should be written and negotiated from a business and drafting perspective with specific attention to the best way to achieve the client’s business objective while also managing risk.


Sterling also conducts negotiation sessions for laymen and attorneys alike, where he addresses negotiation strategies, tactics and counter-tactics. His experiences and insights with fall-back positions and various negotiation styles are highly valued.


Sterling is licensed to practice law in North Carolina and is a certified mediator for the North Carolina Dispute Resolution Committee as well as a certified arbitrator for the American Arbitration Association, specializing in technology, Cloud computing and other contract drafting issues. His mediation skills also help him bring a unique perspective to managing dispute resolution in the contract drafting process.
